HI Direct Primary Care reserves the right to update or modify these Terms and Conditions at any time without prior notice. Use Restrictions

All of the content you see and hear on the Site, including, for example, all of the page headers, images, illustrations, graphics, audio clips, video clips, and text are subject to trademark, service mark, trade dress, copyright and/or other intellectual property rights or licenses held by HI Direct Primary Care, operating under Healthspan Concierge Medicine LLC, one of its affiliates, network partners, or by third parties who have licensed their materials to HI Direct Primary Care. The entire content of the Site is copyrighted as a collective work under U.S. copyright laws, and coordination, arrangement, and enhancement of the content.

The content of the Site is intended solely for the personal, noncommercial use by the users of our site. Certain products or services may be available exclusively online through the website. We reserve the right, but are not obligated, to limit our Products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. Pricing and Fee Errors

In the event a membership fee, enrollment fee, evaluation fee, or other price displayed on this website is listed incorrectly due to a typographical, pricing, or technical error, HI Direct Primary Care reserves the right to correct the error and to refuse or cancel any enrollment or transaction affected by it, whether or not payment has already been processed. If payment has already been collected in connection with an incorrect price, HI Direct Primary Care will notify you of the correct price and give you the option to proceed at the corrected price or receive a full refund.

Testimonials

From time to time, HI Direct Primary Care may display testimonials, reviews, or statements from members on this website or in other marketing materials, with that member's permission. Testimonials reflect the individual experiences of the members who provided them and are not a guarantee of any particular outcome or result. If you have provided a testimonial and would like it removed or updated, contact us at info@hidirectprimarycare.com.

Termination

These terms and conditions are applicable to you upon your accessing the site or completing an enrollment or scheduling process. These terms and conditions, or any of them, may be terminated by HI Direct Primary Care without notice at any time for any reason. The provisions relating to Copyrights, Trademark, and Miscellaneous, shall survive any termination.

Use of Site

You agree not to use the Site for any unlawful purpose, to impersonate HI Direct Primary Care or any of its staff or representatives, or to interfere with the proper functioning of the Site. Any future interactive features made available on the Site will be subject to additional guidelines posted at that time.

Indemnification

You agree to indemnify, defend, and hold harmless HI Direct Primary Care, its officers, directors, employees, agents, licensors and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorney's fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

Nonetheless, HI Direct Primary Care seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its site, but for sites it links to as well (including if a specific link does not work).

HI Direct Primary Care may deliver notice to you by means of electronic mail, a general notice on the Site, or by written communication delivered by first class U.S. mail to your address on record in HI Direct Primary Care account information.

Mobile Message Service Terms + Conditions

The HI Direct Primary Care mobile message service (the "Service") is operated by HI Direct Primary Care ("HI Direct Primary Care", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

You must be 18 years of age or older to use this SMS service.

By consenting to HI Direct Primary Care's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of HI Direct Primary Care through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., registration updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers.

You understand that you do not have to sign up for this program in order to register to use our products or services or make any purchases, and your consent is not a condition of any purchase or action with HI Direct Primary Care. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

Help + Opt-Out: You may opt-out of the Service and SMS list at any time by texting, emailing, or replying STOP or UNSUBSCRIBE to HI Direct Primary Care at 808.808.5904 or email info@hidirectprimarycare.com. For Service support or assistance, text HELP to HI Direct Primary Care at 808.808.5904 or email info@hidirectprimarycare.com.

After unsubscribing, you will receive a final SMS to confirm you have unsubscribed and we will remove your number from our list within 5-10 business days. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Limitation of Liability

To the fullest extent permitted by law, HI Direct Primary Care, and its owners, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this website, even if we have been advised of the possibility of such damages. Except in cases of gross negligence or willful misconduct, our total liability arising out of or related to your use of this website will not exceed the amount of membership or service fees you paid to HI Direct Primary Care in the twelve (12) months preceding the event giving rise to the claim. This section applies to use of the website only; it does not limit any rights or remedies available to you under your Membership Agreement or applicable Hawaii law.

Disclaimers

This website and all content, information, and materials on it are provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HI Direct Primary Care does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

The content on this website is provided for general informational purposes only and is not intended to be, and should not be construed as, medical advice. Use of this website, including submitting an inquiry or scheduling an evaluation, does not create a provider-patient relationship. A provider-patient relationship is established only once you have formally enrolled as a member and completed the required intake process.

Emergency Notice

HI Direct Primary Care is a membership-based primary care practice and is not equipped to handle medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use this website, email, text messaging, or any other electronic communication method to seek help for an emergency.

Governing Law and Dispute Resolution

This Agreement and your use of this website are governed by the laws of the State of Hawaii, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement or your use of this website will be subject to the exclusive jurisdiction of the state and federal courts located in the City and County of Honolulu, Hawaii, and you consent to personal jurisdiction and venue in those courts.

To the extent permitted by applicable law, any dispute arising out of or relating to this Agreement will be resolved through binding arbitration administered in the City and County of Honolulu, Hawaii, on an individual basis. You and HI Direct Primary Care each waive the right to participate in a class action lawsuit or class-wide arbitration. This provision does not apply to disputes concerning the quality of clinical care, which are governed by your Membership Agreement and applicable Hawaii law.

Miscellaneous

HI Direct Primary Care may update the terms of this Agreement from time to time by publishing a new version on our website. Your continued use of the website following the posting of any changes constitutes your acceptance of those changes. If any modification is unacceptable to you, your only recourse is to discontinue your use of the website.

IF ANY PROVISION OF THIS AGREEMENT SHALL BE UNLAWFUL, VOID OR FOR ANY REASON UNENFORCEABLE, THEN THAT PROVISION SHALL BE DEEMED SEVERABLE FROM THIS AGREEMENT AND SHALL NOT AFFECT THE VALIDITY AND ENFORCEABILITY OF ANY REMAINING PROVISIONS.

NO WAIVER OF ANY PROVISION OF THIS AGREEMENT BY US SHALL BE DEEMED A FURTHER OR CONTINUING WAIVER OF SUCH PROVISION OR ANY OTHER PROVISION, AND OUR FAILURE TO ASSERT ANY RIGHT OR PROVISION UNDER THIS AGREEMENT SHALL NOT CONSTITUTE A WAIVER OF SUCH RIGHT OR PROVISION.

THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT AND UNDERSTANDING BETWEEN YOU AND HI DIRECT PRIMARY CARE WITH RESPECT TO THE SUBJECT MATTER HEREIN AND SUPERSEDES ALL PRIOR WRITTEN AND ORAL AGREEMENTS, DISCUSSIONS OR REPRESENTATIONS BETWEEN US.
